SPECIAL RESOLUTION THAT:
The Club adopt a new constitution using the text of the Charitable Associations Model Constitution GD3 found on the Charities Commission website:

subject to the following amendments:
Clause 2
“Ϯ. The Name
The association’s name is Primrose Hill Cricket Club.”
Clause 3
“ϯ. The Objects
The Charity’s objects (the Objects) are:
– to foster and promote the sport of cricket at all levels (and particularly at junior levels) within the community and within the sport, providing opportunities for recreation, coaching and competition.
– to ensure that all members, playing and non-playing, abide by the ECB Code of Conduct which incorporates the Spirit of Cricket and by the Laws of Cricket.
– to ensure a duty of care to all members by adopting and implementing the ECB ‘Safe Hands – Cricket’s Policy for Safeguarding Children’ and any future versions of the Policy.
– to encourage all members of the Charity to participate fully in its activities.
– to open membership to anyone interested in the sport of cricket in accordance with the Bye-Laws of the Charity governing membership established under s.29 of this Constitution.”

THE BYE-LAWS OF PRIMROSE HILL CRICKET CLUB
THESE BYE-LA:S M8ST BE READ IN CONJ8NCTION :ITH THE CL8B¶S CONSTITUTION WHICH WAS ADOPTED ON 13TH JANUARY 2008.
1 Introduction
1.1 These bye-laws have been made by the Trustees of Primrose Hill Cricket Club (the “Club”).
1.2 They must be read in conjunction with the Club’s formal Constitution.
1.3 These bye-laws are made in accordance with Paragraph 29 of the Constitution.
1.4 For the avoidance of doubt, if there is any conflict between the provisions of the Constitution and these bye-laws, then the provisions of the Constitution shall prevail. Codes of Conduct of the Club
2 Codes of Conduct of the Club
2.1 The Club will adopt and implement the English Cricket Board (“ECB”)’s Codes of Conduct in relation to (i) Coaches, (ii) Young People and (iii) Club members and Guests. These are found in Appendix A to these bye-laws.
2.2 The Club will adopt and implement the ECB’s Safe Hands – Cricket’s Policy for Safeguarding Children, found in Appendix B to these bye-laws.
2.3 The Club will adopt and implement the ECB’s Equity Policy in relation to equality of opportunity. This document is found in Appendix C to these bye- laws.
2.4 The Club’s Constitution, Codes of Conduct, Safe Hands Policy and Equity Policy will be posted on the Club’s notice board (if any) and the Club’s website at all times.
3 Club Pricing Policy
3.1 The Club will adopt and maintain an equitable pricing policy for all its members and will use excess funds to build links to local community schools and provide scholarships for disadvantaged children wishing to participate in the game of cricket.
4 Club Welfare Officer
4.1 The Club will have at least one nominated Welfare Officer at all times.
4.2 The Club’s Welfare Officer(s) will attend all necessary ECB approved courses and workshops and hold valid attendance certificates in accordance with the requirements of ECB Clubmark status.
4.3 The Welfare Officer(s) will report to the General Committee once a year and provide a report of the year and compliance with the requirements of the ECB.
5 Membership
5.1 The Membership of the Club will consist of the Trustees and Members (as defined below) of the Club.
5.2 Membership of the Club will be open to any person, regardless of race, religion, age, gender, sexual orientation or disability, who completes a membership application form and pays the relevant Membership subscription fee. However, limitation on the numbers of Members will be allowed taking in to account the availability of coaches and facilities on a non-discriminatory basis.
5.3 Membership subscription fees will be proposed by the Trustees and approved by the Members at the Annual General Meeting of the Club.
5.4 No person shall be entitled to take part in the business of the Club or to play for the Club unless the appropriate subscription has been paid for that year’s membership by the 1st May of that year or an associate scholarship membership has been offered in the form of a scholarship by the General Committee.
5.5 All Members of the Club will be deemed to accept the terms of the Constitution and any bye-laws from time to time adopted by the Club. In
particular and without prejudice to the generality of the foregoing, Members will be deemed to accept the Codes of Conduct adopted by the Club and be required to conduct themselves in accordance with the Club’s Constitution and Bye-laws. The General Committee may refuse membership or remove it only for good cause such as conduct or character likely to bring the Club or cricket into disrepute or in the event of a breach by the Member of the Constitution or Codes of the Club.
5.6 In accordance with Paragraph 7 of the Constitution, Full Membership of the Club is only open to individuals over eighteen.
5.7 Those who are under 18 will be Associate Members without any voting rights.
5.8 There will be the following 4 classes of Membership available:
5.8.1 Associate Members – children (individuals under 18 as of 1st September of the scholastic year) who have paid the relevant Membership fee for players.
5.8.2 Associate Scholarship Members – children who have been invited to join the Club under the Club’s scholarship scheme,
5.8.3 Full Members: either parent of an Associate Member or any adult playing member.
5.8.4 Full Honorary Members: as determined by the General Committee.
5.9 Each Full Member and Full Honorary Member will hold one vote and such members will be the only Members of the Club to have voting rights under the Constitution.
5.10 Associate Scholarship Members will be chosen after trials as determined by the club’s coaches in discussion with the Club Committee. The terms and basis on which scholarships are offered will be at the general discretion of the General Committee to be reviewed annually.
6 Review of Club roles
6.1 The General Committee will undertake an analysis and assessment of all roles within the Club (including whether certain roles within the Club require the post holders to undertake a CRB check) on an annual basis.
6.2 Such review will be written and presented for consideration by the General Committee.
6.3 In addition to the Officers named in Paragraph 16 of the Constitution, the General Committee will also appoint the Club’s Child Welfare Officer(s) and Fixtures Secretary whose appointment will be put to the approval of the Annual General Meeting of the Club. These positions will be elected at the Annual General Meeting each year.
6.4 The current holder of the offices mentioned in paragraph 6.3 shall be eligible for re-election at each Annual General Meeting.
7 The Structure of the Club
7.1 The Club will be run in accordance with paragraph 16 of the Constitution.
7.2 The Club Trustees will automatically be members of the General Committee.
7.3 The General Committee will be tasked with the overall supervision and running of the Club. The General Committee will appoint a Club Committee to assist in the running and administration of the Club.
7.4 The members of the Club Committee will be appointed by the General Committee.
7.5 All members of the General Committee will also be members of the Club Committee.
7.6 The Club Committee will report to the General Committee on a semi-annual basis.
7.7 The various functions of the Club Committee will include the supervision and/or appointment of the following: 7.7.1 a Social Committee which will report to the Club Committee on an annual basis. The Social Committee will be responsible for the organisation of any social events mandated by the Club Committee.
7.7.2 A Disciplinary Committee which will be responsible for dealing with and determining breaches of discipline and will report to the Club Committee.
7.7.2.1 All complaints regarding the behaviour of members will be lodged in writing with the Secretary. The Secretary will inform the Club Committee who will cause the Disciplinary Committee to meet within 30 days of the complaint being lodged.
7.7.2.2 Any member requested to attend a meeting of the Disciplinary Committee will be entitled to call witnesses
7.7.2.3 The Disciplinary Committee will determine validity of the complaint and make recommendations to the Club Committee.
7.7.2.4 The Club Committee will then have power to take appropriate disciplinary action including the termination of membership.
7.7.2.5 The decision of the Club Committee in relation to any complaint will be final and binding on all parties.
7.7.3 The appointment of 2 Team Managers to be responsible for each team, ensuring that their team fulfils its fixtures and adheres to the Club’s
Code of Conduct and the requirements of ECB Clubmark. The Team Managers shall also report to the Club Committee.
